Terms of Service

Agreement
These Terms of Service ("Terms") form a binding agreement between you and Equigrant Inc. ("Equigrant", "we", "us") governing your use of the Equigrant platform and any related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using Equigrant on behalf of a business, you represent that you have authority to bind that business to these Terms.
The service
Equigrant provides software tools that allow business owners to design, document, and communicate phantom equity and profit-sharing plans to their employees. The Service is informational and administrative in nature. Equigrant is not a law firm and does not provide legal, tax, financial, or securities advice. Nothing in the Service constitutes legal advice. You are solely responsible for ensuring your equity plans comply with applicable laws and for obtaining independent legal counsel where appropriate.
Eligibility and accounts
You must be at least 18 years old to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately via our contact form if you suspect unauthorized access.
Subscriptions and payment
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by applicable law or as we determine in our sole discretion.
We may change pricing with at least 30 days' notice. If you do not cancel before the price change takes effect, you agree to pay the updated amount.
Payments are processed by Stripe, Inc. and subject to Stripe's terms. We do not store full payment card details.
Your data and content
You retain ownership of all data you input into the Service, including employee information and plan details ("Your Content"). You grant Equigrant a limited licence to process and store Your Content solely to provide the Service to you.
You represent that You Content does not violate any applicable law or third-party rights, and that you have obtained any required consents to provide employee personal information to us.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law.
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
- Use the Service to transmit malware, spam, or any content that is harmful, fraudulent, or deceptive.
- Resell, sublicense, or otherwise make the Service available to third parties without our written consent.
- Scrape, copy, or reverse-engineer any part of the Service.
Intellectual property
The Service, including its design, software, and content (excluding Your Content), is owned by Equigrant and protected by Canadian and international intellectual property laws. These Terms do not grant you any ownership interest in the Service.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EQUIGRANT DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUIGRANT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO EQUIGRANT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.
IN NO EVENT WILL EQUIGRANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Termination
You may cancel your account at any time through the account settings. We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ends immediately. Data deletion is governed by our Privacy Policy.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.
Changes to these terms
We may update these Terms at any time. Material changes will be communicated by updating the effective date and, where appropriate, notifying you by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
